Naknadna nemožnost izpolnitve obveznosti in njen pomen za obligacijsko pravo

Na koncept naknadne nemožnosti izpolnitve iz OZ je vplival nemški BGB (pred reformo), in je primerljiv s švicarskim in italijanskim pravom. Precej zapleten institut omogoča razbremenitev dolžnika in ...vodi v prenehanje pogodbe, po drugi strani pa pomeni tudi posebno obliko kršitve pogodbe. Analiza domače pravne ureditve pokaže, da pojem nemožnosti pri razbremenitvi dolžnika ne igra nobene vloge, saj je odločilna le splošna razbremenitvena določba člena 240 OZ. Edina logična posledica nemožnosti je izključitev zahtevka na izpolnitev v naravi, nanaša pa se na vsakršno nemožnost. Posledice nemožnosti v vzajemnih pogodbah so enake posledicam kakršnekoli druge neizpolnitve, le da postavitev dodatnega roka pred odstopom ni smiselna. Institut naknadne nemožnosti bi bilo mogoče brez posebnih težav črtati, s čimer bi se približali trendom v primerjalnem pravu, ki gredo v smeri enotnega pojma kršitve pogodbe.
